Clients represent that they have the legal right to provide these materials.
4. Ownership of Project Deliverables
Unless otherwise specified in a written agreement:
- Final approved deliverables become the property of the client only after full payment has been received.
- Drafts, concepts, rejected designs, working files, and internal development materials remain the property of SMC Designs.
- Source files, editable files, source code repositories, AI prompts, automation logic, and development frameworks are not transferred unless expressly included in the project agreement.
5. AI Intellectual Property
SMC Designs develops proprietary AI assets that may include:
- Prompt libraries
- AI workflows
- Automation systems
- AI agents
- AI assistants
- Knowledge bases
- Training methodologies
- AI implementation frameworks
Unless transferred under a written agreement, these assets remain the exclusive intellectual property of SMC Designs.
6. License to Clients
Upon full payment and where applicable, SMC Designs grants clients a non-exclusive, perpetual license to use the final deliverables for their intended business purposes unless a different licensing arrangement has been agreed in writing.
This license does not include ownership of SMC Designs' proprietary tools, frameworks, templates, AI systems, or internal methodologies.
7. Portfolio Rights
Unless prohibited by a written confidentiality agreement or non-disclosure agreement (NDA), SMC Designs reserves the right to:
- Display completed projects in its portfolio.
- Showcase work on its website.
- Publish work on social media.
- Include projects in presentations, proposals, and marketing materials.
Confidential information will not be disclosed without authorization.
8. Client Responsibilities
Clients agree not to:
- Remove copyright notices.
- Claim authorship of SMC Designs' proprietary work.
- Resell proprietary templates, AI systems, or frameworks without permission.
- Copy, reverse engineer, or reproduce proprietary software or automation systems except where permitted by law or written agreement.
9. Third-Party Intellectual Property
