1. Acceptance of Terms

2. About SMC Designs
SMC Designs is an AI-driven digital transformation company providing services including Artificial Intelligence solutions, branding, digital marketing, software development, web development, automation, consulting, content production, and creative design.
3. Services
All services are provided in accordance with the scope, quotation, proposal, or contract agreed upon between SMC Designs and the client.
Additional work requested outside the agreed scope may require a revised quotation and additional fees.
4. Quotations & Payments
- Quotations are valid for 30 days unless otherwise stated.
- Projects generally require an upfront deposit before work begins.
- Remaining balances are due according to the agreed payment schedule.
- Late payments may delay project delivery.
- SMC Designs reserves the right to suspend work until outstanding balances are paid.
5. Client Responsibilities
Clients agree to:
- Provide accurate information.
- Supply requested content and materials on time.
- Obtain rights for any third-party assets they provide.
- Review deliverables promptly.
- Communicate approvals or revisions within agreed timelines.
Project delays caused by the client may result in revised delivery schedules.
6. Intellectual Property
Unless otherwise agreed in writing:
- Clients retain ownership of materials they provide.
- SMC Designs retains ownership of its methodologies, templates, frameworks, software, automation systems, AI workflows, and proprietary processes.
- Final deliverables transfer to the client only after full payment has been received, unless otherwise specified in writing.
7. Artificial Intelligence Services
Some services may involve Artificial Intelligence tools.
Clients acknowledge that:
- AI-generated content should be reviewed before publication or implementation.
- AI outputs may require human verification.
- SMC Designs makes reasonable efforts to ensure quality but cannot guarantee that AI-generated outputs will be completely error-free.
8. Confidentiality
Both parties agree to protect confidential information shared during the course of a project.
Additional confidentiality obligations may be established through separate Non-Disclosure Agreements (NDAs).
9. Revisions
Project proposals may include a specified number of revisions.
Requests beyond the agreed revision limit or outside the approved project scope may incur additional charges.
10. Project Delivery
Estimated delivery dates are provided in good faith.
Delivery schedules may change due to:
- Client delays
- Scope changes
- Force majeure
- Technical issues beyond reasonable control
11. Third-Party Services
SMC Designs may recommend or integrate third-party services, including hosting providers, payment gateways, AI platforms, cloud services, analytics tools, or software providers.
SMC Designs is not responsible for the performance, availability, pricing, or policies of third-party services.
12. Limitation of Liability
To the maximum extent permitted by law, SMC Designs shall not be liable for indirect, incidental, consequential, special, or punitive damages arising from the use of our website or services.
Our total liability shall not exceed the amount paid by the client for the specific service giving rise to the claim.
13. Website Use
Users agree not to:
- Attempt unauthorized access to our systems.
- Distribute malware or malicious code.
- Copy or reproduce website content without permission.
- Use the website for unlawful purposes.
SMC Designs reserves the right to restrict access to users who violate these terms.
14. Termination
Either party may terminate a project in accordance with the applicable service agreement.
Clients remain responsible for payment for work completed up to the termination date.
15. Governing Law
These Terms & Conditions shall be governed by the applicable laws of the jurisdiction specified in the relevant service agreement, unless otherwise required by law.
16. Changes to These Terms
SMC Designs may update these Terms & Conditions at any time. Updated versions become effective upon publication on this website.
